Free Influencer Agreement

This Agreement (hereinafter, the "Agreement") is entered into by and between [Your Company Name] residing at [Your Company Address] (hereinafter, the "Company"), and [Influencer Name] residing at [Influencer Adress] (hereinafter, the "Influencer").

I. Engagement

The company engages Influencers to perform the following services ("Services"):

• Create and publish three Instagram posts per week featuring the Company's products, including a brief caption highlighting key features and benefits.

• Produce one YouTube video per month showcasing the Company's latest product releases, with a duration of at least five minutes and including a dedicated mention of the Company in the video and description.

• Attend the Company's virtual product launch event on [Date] and share live updates on Instagram Stories throughout the event, with a minimum of five posts.

II. Content Creation

Influencer agrees to create and deliver the following content ("Content") as part of the Services:

1. Instagram Posts

• Format: Static image carousel.

• Quantity: Two Instagram posts per week.

• Specific Requirements: Each post must prominently feature the Company's products in a lifestyle context. Captions should be engaging, and authentic, and include relevant hashtags provided by the Company. Influencers should tag the Company's official Instagram account in each post and disclose any sponsored content in compliance with FTC guidelines.

2. YouTube Videos

• Format: High-definition video.

• Quantity: One YouTube video per month.

• Specific Requirements: Each video should focus on reviewing or demonstrating the Company's products, and providing honest opinions and feedback. The video should be well-edited, include close-up shots of the products, and have a professional thumbnail. Influencers should include links to the Company's website and products in the video description and disclose any sponsored content.

3. Blog Posts

• Format: Written blog post.

• Quantity: One blog post every two weeks.

• Specific Requirements: Blog posts should be informative, engaging, and relevant to the Company's target audience. Each post should highlight different aspects of the Company's products, such as features, benefits, or user experiences. Influencers should include high-quality images of the Company's products within the blog post and provide links to the Company's website and specific product pages.

4. Additional Content

• Format: Varies (e.g., Instagram Stories, TikTok videos, etc.).

• Quantity: As mutually agreed upon between Company and Influencer.

• Specific Requirements: Influencers may create additional content, such as Instagram Stories, TikTok videos, or other social media posts, to complement the main content deliverables. The format, quantity, and specific requirements for additional content will be discussed and agreed upon on a case-by-case basis.

III. Compensation

In consideration for the Services and Content provided by the Influencer, the Company agrees to compensate the Influencer as follows:

1. Payment Amount

• Influencers will receive a flat fee of $150 for each Instagram post, with an additional $50 bonus for exceeding 1000 likes and 50 comments within 24 hours of posting.

• Influencers will be compensated $300 for each YouTube video, with an additional $100 bonus for achieving 10,000 views within 7 days of publication.

• Blog posts will be compensated at a rate of $0.15 per word, with a minimum word count of 800 words per post.

2. Payment Schedule

• Payments for Instagram posts and YouTube videos will be made within 14 days of content approval by the Company.

• Blog post payments will be made within 30 days of publication.

3. Additional Benefits and Incentives

• Influencers will receive complimentary Company products for review purposes, with the option to keep the products after completion of the review.

• Influencers will be eligible for performance-based bonuses, such as an additional $100 compensation for exceeding engagement targets set by the Company or achieving specific campaign objectives.

• The company may offer exclusive discount codes or affiliate links to incentivize the Influencer's audience to make purchases, with the Influencer receiving a 10% commission on sales generated through their unique codes or links.

4. Expenses

• The company will reimburse the Influencer for reasonable and pre-approved expenses incurred during the performance of the Services, such as up to $200 for travel expenses for event attendance or costs associated with creating content.

IV. Ownership and Usage Rights

Influencer retains all rights, title, and interest in the Content created under this Agreement. However, the Influencer grants the Company a non-exclusive, royalty-free license to use, reproduce, distribute, and display the Content for marketing and promotional purposes.

V. Term and Termination

This Agreement starts on the [Start Date] and ends on the [End Date]. Both parties can end it early if they give written notice within the [Notice Period]. After termination, all remaining responsibilities must be fulfilled.

VI. Confidentiality

Both parties, which are involved in this agreement, are in mutual agreement to maintain the confidentiality of any proprietary or sensitive information that may be disclosed throughout this agreement. They further commit to use such information exclusively to fulfill their prescribed obligations within the confines of this Agreement.

VII. Representations and Warranties

Influencer represents and warrants that:

• They have the necessary rights and permissions to enter into this Agreement and perform the Services.

• The Content will not infringe upon any third-party rights, including intellectual property rights.

• They will comply with all applicable laws and regulations in performing the Services.

VIII. Indemnification

The Influencer hereby consents to take on the responsibility of covering any cost the Company may incur, to provide legal defense to the Company, and importantly, to keep the Company safe from any potential harm, losses, or potential conflicts. This specifically covers all situations that could result in any claims against the Company, whether they cause damages, losses, or expenses. Such situations could occur due to, or be related to, any breach of this Agreement by the Influencer or any indication of disagreement where the Influencer breaks any applicable laws or regulations.

IX. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed by the laws of [State/Country]. Any disputes arising out of or related to this Agreement shall be resolved through arbitration in [City/State/Country] following the rules of the [Arbitration Institution].

X. Entire Agreement

This Agreement symbolizes and encompasses the complete understanding and consensus between the involved parties concerning and concerning the subject matter as mentioned. It overtakes, substitutes, and invalidates all previous accords, consensus, and understandings that were in place before this, irrespective of whether those agreements were oral or in written form.
