Free Tripartite Agreement

This Tripartite Agreement ("Agreement") is made and entered into as of [Date], by and among

[YOUR COMPANY NAME], a [Type Government Agency] organized and existing under the laws of [Jurisdiction], with its principal office located at [YOUR COMPANY ADDRESS], represented herein by its duly authorized representative [YOUR NAME] ("Government Agency");

[Contractor Name], a [Type of Business Entity] organized and existing under the laws of [Jurisdiction], with its principal office located at [Contractor Address], represented herein by its duly authorized representative ("Contractor");

[Subcontractor Name], a [Type of Business Entity] organized and existing under the laws of [Jurisdiction], with its principal office located at [Subcontractor Address], represented herein by its duly authorized representative ("Subcontractor");

WHEREAS, the Government Agency desires to engage the Contractor to undertake certain projects or services, and the Contractor intends to subcontract a portion of the work to the Subcontractor;

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows:

1. Definitions

1.1. Government Project: This shall mean the project titled [Project Name] as described in Exhibit A attached hereto and incorporated herein by reference.

1.2. Contractor's Work: This shall mean the scope of work outlined for the Contractor in the Project Agreement between the Government Agency and the Contractor.

1.3. Subcontractor's Work: This shall mean the scope of work outlined for the Subcontractor in the Subcontract between the Contractor and the Subcontractor.

1.4. Project Agreement: This shall mean the agreement between the Government Agency and the Contractor for the execution of the Government Project, dated [Date], a copy of which is attached hereto as Exhibit B and incorporated herein by reference.

1.5. Subcontract: This shall mean the agreement between the Contractor and the Subcontractor for the performance of the Subcontractor's Work, dated [Date], a copy of which is attached hereto as Exhibit C and incorporated herein by reference.

2. Scope of Work

2.1. The Government Project, Contractor's Work, and Subcontractor's Work shall be as outlined in the Project Agreement and the Subcontract, respectively.

2.2. The Contractor shall be responsible for coordinating and overseeing the Subcontractor's Work to ensure compliance with the terms of this Agreement.

3. Obligations of the Parties

3.1. Government Agency: The Government Agency shall provide necessary approvals, permits, and access to the project site as required for the completion of the Government Project.

3.2. Contractor: The Contractor shall perform the Contractor's Work following the terms of the Project Agreement and shall ensure that the Subcontractor complies with the terms of this Agreement.

3.3. Subcontractor: The Subcontractor shall perform the Subcontractor's Work following the terms of the Subcontract and this Agreement.

4. Payment

4.1. The Government Agency shall make payments to the Contractor following the terms of the Project Agreement.

4.2. The Contractor shall make payments to the Subcontractor following the terms of the Subcontract.

5. Representations and Warranties

5.1. Each party represents and warrants that it has the authority to enter into this Agreement and to perform its obligations hereunder.

5.2. The Subcontractor represents and warrants that it possesses the necessary skills, experience, and resources to perform the Subcontractor's Work.

6. Indemnification

6.1. Each party agrees to indemnify and hold harmless the other parties from and against any claims, damages, liabilities, and expenses arising out of or in connection with its breach of this Agreement.

7. Term and Termination

7.1. This Agreement shall commence on the effective date and shall continue until the completion of the Government Project unless terminated earlier following the terms herein.

7.2. Either party may terminate this Agreement upon written notice to the other parties in the event of a material breach by the other party that remains uncured after a specified cure period.

8. Governing Law and Dispute Resolution

8.1. This Agreement shall be governed by and construed following the laws of [Jurisdiction].

8.2. Any dispute arising out of or in connection with this Agreement shall be resolved through arbitration following the rules of [Arbitration Institution], with the seat of arbitration in [Jurisdiction].

9. Miscellaneous
