Free Introducer Agreement

1. Introduction

The Introducer brings a wealth of connections and expertise within the construction industry, boasting relationships with leading firms, contractors, architects, and project managers. With a keen understanding of industry needs, the Introducer is well-equipped to identify and introduce potential clients who stand to benefit from the Principal's cutting-edge software solutions.

3. Appointment

• The Principal hereby appoints the Introducer as a non-exclusive introducer to introduce potential customers, clients, or business opportunities to the Principal, subject to the terms and conditions of this Agreement.

• The Introducer accepts such appointment and agrees to use its best efforts to identify and introduce potential customers, clients, or business opportunities to the Principal.

4. Referral Fees

• In consideration for the services provided by the Introducer under this Agreement, the Principal agrees to pay the Introducer a referral fee (the "Referral Fee") as outlined in Schedule A attached hereto.

• The Referral Fee shall be payable by the payment terms specified in Schedule A.

5. Confidentiality

• During the term of this Agreement and thereafter, the Introducer agrees to keep confidential all information, data, and materials received from the Principal relating to the business and affairs of the Principal (the "Confidential Information").

• The Introducer shall not disclose the Confidential Information to any third party without the prior written consent of the Principal, except as required by law.

6. Term and Termination

• This Agreement shall commence on the Effective Date and shall continue in full force and effect until terminated by either party upon (30) days prior written notice to the other party.

• Notwithstanding the foregoing, either party may terminate this Agreement immediately upon written notice to the other party in the event of a material breach of any provision of this Agreement by the other party.

7. Governing Law and Jurisdiction

The agreement that is in question will be directed and interpreted by the laws that are currently in effect in the specified [State/Country]. Further, any disagreement or conflict that may arise from, or that is in any way related to, the content or execution of this agreement will be exclusively handled and resolved by the judicial system operating in the respective [State/Country], which has been specified. The jurisdiction of these courts over such matters is absolute and unchallenged.

8. Entire Agreement

This Agreement, at present, signifies the complete and comprehensive agreement between the involved parties concerning the subject matter stated hereof.
