Travel Agency Subcontractor Agreement

This Travel Agency Subcontractor Agreement ("Agreement") is entered into as of [Date], by and between [Your Company Name], a corporation organized and existing under the laws of [Your Company State], with its principal office located at [Your Company Address] ("Company"), and [Subcontractor], a company duly organized and existing under the laws of [Subcontractor State], with its principal office located at [Subcontractor Address] ("Subcontractor"). The parties agree as follows:

1. Scope of Services

The Subcontractor shall provide travel-related services as may be requested by the Company from time to time ("Services"). These Services shall include, but are not limited to, making travel arrangements, booking accommodations, managing travel itineraries, and providing travel advisory services to the Company’s clients as directed by the Company. The Subcontractor agrees to perform these services promptly, competently, and professionally, maintaining the high standards that the Company’s clients expect.

2. Term and Termination

This Agreement shall commence on the date hereof and shall continue in effect until terminated by either party upon not less than 30 days written notice to the other party. Either party may terminate this Agreement immediately for cause if the other party breaches any of its terms and fails to correct the breach within ten (10) days after receiving written notice thereof. Upon termination, all ongoing projects and duties shall be concluded within the originally slated time, unless agreed otherwise.

3. Compensation

The Company shall pay the Subcontractor for services rendered according to the schedules and rates agreed upon in a Statement of Work, which shall be issued for each specific project. Payment will be made within 30 days of receipt of an accurate invoice from the Subcontractor. The Subcontractor shall be responsible for all of its operating expenses and the payment of its employees, including their salaries, related benefits, and taxes.

4. Confidentiality

The Subcontractor agrees that it will not at any time or in any manner, either directly or indirectly, divulge, disclose, or communicate any information that is proprietary to the Company. This provision shall continue to be effective after the termination of this Agreement. The obligations of confidentiality shall not apply to information that (a) becomes a matter of public record through no fault of the Subcontractor, or (b) is rightfully received from a third party not bound by a confidentiality agreement.

5. Indemnification

The Subcontractor shall indemnify and hold the Company harmless from any loss, liability, cost, or damage arising out of or connected with Services provided under this Agreement, except for those resulting solely from the Company’s negligence. This indemnification includes any claims brought by third parties as a result of the Subcontractor's actions or omissions.

6. Independent Contractor

It is understood that the Subcontractor is an independent contractor and as such, is responsible for managing how the agreed services are executed subject to the Company's overall requirements regarding results and outcomes of the services. The Subcontractor is not considered as an employee, agent, or partner of the Company for any purposes.

7. Compliance with Laws

Both parties shall be responsible for compliance with all applicable laws, rules, and regulations in fulfillment of their obligations under this agreement. This includes adherence to local, state, and federal laws pertaining to data protection and confidentiality, travel and tourism regulations, and employment standards.

8. General Provisions

This Agreement constitutes the entire agreement between the parties pertaining to its subject matter and supersedes all prior agreements, understandings, negotiations, and discussions of the parties, whether oral or written. This Agreement may only be modified by a written amendment signed by the parties hereto.
