Free Member Agreement

I. Definitions

Both parties agree to maintain the confidentiality of any proprietary information shared during the term of this Agreement. Confidential information includes but is not limited to, membership details, business strategies, and financial information.

5.2 Exceptions to Confidentiality

The obligations of confidentiality do not apply to information that:

• Is already in the public domain.

• The disclosing party disclosed this to third parties with prior written consent.

• It is required by law to be disclosed.

VI. Limitation of Liability

6.1 Exclusion of Damages
