Work Order Agreement
1. Introduction
This Work Order Agreement (hereinafter referred to as the "Agreement") is entered into as of August 5, 2055 by and between ZenExa, a company organized and existing under the laws of California, with its principal place of business located at San Francisco, CA 94102 (hereinafter referred to as the "Company"), and Rocky Orn, an individual/contractor with a principal place of business located at Chico, CA 95973 (hereinafter referred to as the "Contractor").
2. Purpose
The purpose of this Agreement is to set forth the terms and conditions under which the Contractor will provide certain services to the Company as described in the Statement of Work attached hereto as Exhibit A (hereinafter referred to as the "Services").
3. Scope of Work
The Contractor agrees to perform the Services in a professional manner, adhering to the highest industry standards. The detailed description of the Services, including any deliverables, timelines, and pricing, is outlined in the Statement of Work (Exhibit A).
4. Term
This Agreement shall commence on the Effective Date and shall continue until the completion of the Services, unless otherwise terminated in accordance with the provisions of this Agreement.
5. Compensation
The Company agrees to pay the Contractor the fees outlined in the Statement of Work. Payment terms, including any milestone payments, are detailed in Exhibit A. The Contractor shall submit invoices in accordance with the schedule set forth in the Statement of Work.
6. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the term of this Agreement. The parties shall not disclose such information to any third party without the prior written consent of the disclosing party.
7. Termination
Either party may terminate this Agreement upon 15 days’ written notice if the other party is in breach of any material obligation under this Agreement and fails to cure such breach within 45 days after receiving written notice thereof.
8. Indemnification
The Contractor agrees to indemnify, defend, and hold harmless the Company, its affiliates, and their respective officers, directors, and employees from and against any and all claims, liabilities, losses, damages, costs, and expenses arising out of or in connection with the Contractor’s performance of the Services.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of California. Any legal actions or proceedings arising out of this Agreement shall be brought in the courts located in California.
10. Entire Agreement
This Agreement, including any exhibits or addenda, constitutes the entire agreement between the parties and supersedes any previous agreements, understandings, or arrangements, whether oral or written.
