1. Definitions and Purpose

This Agreement outlines the terms under which the Client agrees to release the Service Provider from liability for certain risks inherent in the professional services being provided, specifically technology consultation and software development.

2. Services Provided

The Service Provider agrees to provide the following services:

• Custom software development for enterprise management.

• Cybersecurity consultation and risk assessment.

3. Acknowledgment of Risk

The Client acknowledges and agrees that:

• The services provided may involve certain risks, including but not limited to potential software bugs, implementation delays, and cybersecurity vulnerabilities.
  

• The Service Provider cannot guarantee specific outcomes, such as exact timelines for project completion or 100% error-free solutions.

4. Release of Liability

In consideration of the services provided by the Service Provider, the Client hereby releases, waives, and discharges the Service Provider, its employees, agents, and affiliates from all liability, claims, demands, or causes of action related to any:

• Data loss, business disruptions, or financial loss from using the software or advice.

• Errors, omissions, or negligence in the performance of services.

5. Indemnification

The Client agrees to indemnify and hold harmless the Service Provider from any claims, damages, or expenses (including attorney’s fees) arising out of the Client's use of the services.

6. No Guarantees

The Client acknowledges that the Service Provider makes no guarantees or warranties, express or implied, regarding the outcome of the services provided, including fitness for a particular purpose.

7. Governing Law

This Agreement shall be governed by and construed under the laws of the State of Texas, without regard to its conflict of laws principles.

8. Entire Agreement

This Agreement constitutes the entire understanding between the parties concerning the subject matter herein and supersedes all prior agreements or understandings.

9. Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions shall remain in full force and effect.

10. Signature
