Sample Non-Waiver Agreement
This Non-Waiver Agreement (the "Agreement") is entered into by and between:
[Your Company Name], a corporation with its principal place of business at 123 Innovation Drive, Silicon Valley, CA 94043 ("[Your Company Name]"), and
Global Enterprises Ltd., is a company with its principal place of business at 456 Commerce Street, New York, NY 10001 ("Global Enterprises").
WHEREAS, [Your Company Name] and Global Enterprises are engaged in a business relationship under the terms of a collaboration agreement dated January 1, 2050;
WHEREAS, [Your Company Name] and Global Enterprises acknowledge that certain rights, claims, or defenses may arise during their business relationship, which may require one party to assert or preserve such rights;
NOW, THEREFORE, in consideration of the mutual covenants contained herein, and intending to be legally bound, the parties agree as follows:
1. NON-WAIVER OF RIGHTS
No delay or failure by either party to exercise any right, power, or privilege under this Agreement shall constitute a waiver of such right, power, or privilege. The exercise of any right, power, or privilege shall not preclude any further exercise of the same or any other right, power, or privilege.
2. PRESERVATION OF CLAIMS AND DEFENSES
Neither party shall be deemed to have waived any claims or defenses that it may have against the other party, even if such claims or defenses are not immediately asserted or if the party refrains from asserting such claims or defenses promptly. The party retains the right to assert such claims or defenses at any time.
3. NO IMPLICIT WAIVER
Any conduct by either party, including but not limited to inaction, will not be interpreted as an implied waiver of any provision of this Agreement or any of the rights under applicable law. Any waiver of rights or claims must be made in writing, and executed by the party waiving the rights.
4. SEVERABILITY
If any provision of this Agreement is held to be invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.
5. ENTIRE AGREEMENT
This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, and representations regarding the same.
6. GOVERNING LAW
This Agreement shall be governed by and construed by the laws of the state of California, without regard to its conflicts of law principles.
7. EXECUTION
This Agreement is executed by the undersigned parties as of the date written below.
