Lifetime Service Agreement
This Lifetime Service Agreement ("Agreement") is entered into by and between the following parties:
Parties
Service Provider: ViGlobe, a Florida corporation with a principal place of business at Orlando, FL 32801.
Client: Katherine Connel, residing or with a principal place of business at Dayton, OH 45402.
Purpose
The purpose of this Agreement is to define the terms and conditions under which the Service Provider will render certain services to the Client for the duration of their lifetime, subject to the terms and conditions outlined herein.
Scope of Services
The Service Provider agrees to provide the following services to the Client:
Home Renovation Planning and Execution: Conduct a detailed assessment of the Client's property and develop a renovation plan. This includes designing layouts, sourcing materials, obtaining permits, and managing construction teams to ensure timely project completion.
Interior Design Services: Offer comprehensive interior design solutions, including selecting furniture, color schemes, and decorative elements. Services will include creating digital mock-ups and implementing the approved designs.
Energy Efficiency Upgrades: Install energy-efficient systems, such as smart thermostats, LED lighting, and solar panels, to reduce the Client's utility costs and environmental impact.
These services will be provided as per the terms outlined in this Agreement and any attached service schedules.
Term
The term of this Agreement shall commence on the date of execution and shall continue for the lifetime of the Client, unless terminated earlier in accordance with the provisions of this Agreement.
Termination
This Agreement may be terminated by either party upon the occurrence of any of the following events:
Mutual written consent of both parties.
Material breach by either party, with a failure to cure within thirty (30) days of receipt of written notice of such breach.
By the Client at any time, subject to a termination fee to be agreed upon at the inception of this Agreement.
Consideration
In consideration of the services to be rendered by the Service Provider, the Client agrees to compensate the Service Provider as follows:
Fee Structure: The Client shall pay a fixed fee of $5,000 for the complete scope of services described in this Agreement. Alternatively, if additional services are requested, an hourly rate of $100 will apply.
Payment Terms and Schedule:
A deposit of 30% of the total fee is due upon signing this Agreement.
The remaining balance will be paid in two installments: 40% upon project milestone completion and 30% upon final delivery of services.
Payments are due within seven (7) calendar days of receiving the invoice.
Additional Costs and Expenses:
Any additional materials, permits, or third-party service costs incurred during the execution of the services will be billed separately, with prior approval from the Client.
The Client agrees to reimburse the Service Provider for travel expenses exceeding 50 miles from the Service Provider's office, including mileage, lodging, and meals, as applicable.
Confidentiality
Both parties agree to keep all terms of this Agreement confidential and not disclose any information regarding the services or terms to any third party, except as required by law or with the express written consent of the other party.
Dispute Resolution
Any disputes arising from or relating to this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Dayton, OH.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida.
Entire Agreement
This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous understandings, representations, warranties, and agreements, whether written or oral, with respect to the subject matter hereof.
Signature
IN WITNESS WHEREOF, the parties hereto have executed this Lifetime Service Agreement as of the 13th day of May, 2060.
