Free Sample Event Service Agreement

1. Parties

This Event Service Agreement ("Agreement") is entered into this August 8, 2055 by and between the following parties:

Service Provider: WinGroup, located at Indianapolis, IN 46201.

Client: Malcolm Raynor, located at Baltimore, MD 21201.

2. Purpose

The purpose of this Agreement is to set forth the terms and conditions under which the Service Provider will provide event services ("Services") for the Client's event ("Event").

3. Scope of Services

The Service Provider agrees to provide the following services:

• Development of a custom e-commerce website, including design, coding, and implementation of payment gateways.

• Integration with third-party inventory management and shipping software to streamline order fulfillment.

• Training and support for the Client’s staff on how to manage the website, process orders, and update product listings.

• Ongoing technical support for 12 months post-launch, including bug fixes and security updates.

The Event is scheduled to occur on August 12, 2055 at Milwaukee, WI 53202.

4. Compensation

The Client agrees to pay the Service Provider a total fee of $30,000 for the Services. Payment shall be made as follows:

• Initial Deposit: A non-refundable deposit of $5,000 due upon signing of the Agreement.

• First Milestone Payment: $10,000 due upon completion of the project’s initial design phase (within 30 days of Agreement date).

• Second Milestone Payment: $10,000 due upon completion of development and before the testing phase (within 60 days of Agreement date).

• Final Payment: The remaining $5,000 due upon final approval and delivery of the completed project (within 90 days of Agreement date).

Payments shall be made via bank transfer to the Service Provider's designated account. Any late payments shall incur a late fee of 1.5% per month on the outstanding balance.

5. Term and Termination

This Agreement commences on the date first written above and continues until all services have been completed. Either party may terminate this Agreement with written notice under the following conditions:

• Breach of any material term of the Agreement by the other party not cured within 7 days after notice.

• Mutual agreement of the parties.

6. Liability

The Service Provider shall maintain liability insurance and be liable for any reasonable loss, damage, or injury related to the performance of Services. The Client acknowledges the inherent risks related to events and agrees to not hold the Service Provider responsible for any unforeseeable circumstance.

7. Indemnification

Both parties agree to indemnify, defend, and hold harmless the other from and against any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from the performance of obligations under this Agreement.

8. Governing Law

This Agreement shall be governed by and interpreted under the laws of [State/Country].

9. Entire Agreement

This Agreement constitutes the entire understanding between the parties with respect to its subject matter and supersedes all prior agreements, whether written or oral.
