1. Purpose
The purpose of this Agreement is to ensure non-circumvention by the Parties involved, protecting the proprietary interests of each Party and establishing a framework of trust and confidentiality while engaging in or contemplating business transactions involving each other's clients or business interests.
2. Definitions
Confidential Information: All information disclosed by one Party to the other, whether orally, in writing, or in any other form, that is designated as confidential or can reasonably be understood to be confidential.
Non-Circumvention: The commitment by both Parties not to bypass, avoid, or circumvent each other regarding business opportunities that involve the use of shared Confidential Information.
3. Obligations
3.1 Non-Circumvention
Both Parties agree not to circumvent the rights or established agreements involving each other's business relationships or clients.
3.2 Confidentiality
Both Parties agree to keep confidential all acquired information disclosed by the other Party and shall not disclose such information to any third party without prior written consent.
4. Term
The term of this Agreement shall commence on the effective date, December 14, 2064, and shall continue for a period of five (5) years, unless terminated earlier by mutual written consent of both Parties.
5. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of Arizona, United States, without regard to its conflict of law principles.
6. Dispute Resolution
Any disputes arising out of or related to this Agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA), and the place of arbitration shall be Chandler, Arizona.
7. Entire Agreement
This Agreement constitutes the entire understanding between the Parties and supersedes all prior agreements, representations, or understandings, whether written or verbal.
8. Amendments
This Agreement may be amended or modified only by a written agreement signed by both Parties.
