Simple Broker Agreement

Purpose

This Simple Broker Agreement (hereinafter referred to as the "Agreement") is entered into by and between the parties specified herein for the purpose of outlining the terms and conditions under which the Broker shall render services to facilitate certain transactions. The Agreement serves to define the role, responsibilities, and compensation of the Broker in the arrangement.

Parties

This Agreement is made and entered into by and between:

Principal: Altumax, a corporation with a principal business address at Rochester, NY 14602, hereinafter referred to as "Principal."

Broker Services

The Broker agrees to use their best efforts to locate and introduce potential clients or customers to the Principal. The Broker shall act as a facilitator to bring about transactions between the Principal and third parties. The Broker does not have the authority to legally bind the Principal in any transaction or agreement.

Compensation

In consideration for the services rendered, the Principal agrees to pay the Broker a commission fee of 5% of the transaction value, payable upon the successful completion of each transaction facilitated by the Broker.

Term

This Agreement shall commence on the date of execution, December 15, 2061, and shall remain in effect until terminated by either party with 30 days’ written notice.

Confidentiality

The Broker agrees to keep all information pertaining to the Principal's business, methods, customers, and transactions confidential. The Broker shall not disclose any such information to any third party without the Principal's prior written consent.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.
