Insurance Broker Agreement
This Insurance Broker Agreement ("Agreement") is made and entered into as of the 15th day of January, 2064 ("Effective Date") by and between JoliVent, a company organized and existing under the laws of North Carolina, with its principal office located at Winston-Salem, NC 27101 (hereinafter referred to as "Company"), and [YOUR NAME], a licensed insurance broker from [YOUR COMPANY NAME], with its principal office located at [YOUR COMPANY ADDRESS] (hereinafter referred to as "Broker").
Purpose
The purpose of this Agreement is to establish the terms and conditions under which the Broker will market, sell, and service insurance products on behalf of the Company.
Authority and Appointment
2.1 Appointment
The Company hereby appoints the Broker, as an independent contractor, to act as its non-exclusive representative for the purpose of soliciting applications for insurance products offered by the Company.
2.2 Authority
The Broker shall have the authority to solicit applications and bind coverage for clients, subject to the underwriting guidelines and policies provided by the Company.
Broker Responsibilities
The Broker agrees to act in the best interests of the Company and exercise due diligence in the performance of its duties, including but not limited to:
Complying with all applicable laws and regulations.
Maintaining all necessary licenses and permits.
Ensuring that all information submitted to the Company is accurate and complete.
Not committing the Company to any contractual obligations beyond submitting applications for approval.
Compensation
The Company agrees to pay the Broker commissions as outlined in Schedule A, attached hereto and made a part of this Agreement. Commissions will be paid based on premiums received and accepted by the Company under policies issued on applications obtained by the Broker.
Confidentiality
The Broker agrees to keep all confidential information of the Company, its clients, and its operations confidential and not to disclose such information to any third party except as may be required by law or agreed to by the Company in writing.
Termination
Either party may terminate this Agreement at any time by providing thirty (30) days written notice to the other party. This Agreement may be terminated immediately by the Company for cause, including but not limited to breach of this Agreement, fraud, or loss of required licenses by the Broker.
General Provisions
7.1 Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.
7.2 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the state of North Carolina, without regard to its conflict of laws principles.
7.3 Amendments
No amendment or modification of this Agreement shall be valid unless in writing and signed by both parties.
