TEAMING AGREEMENT

This Teaming Agreement (the "Agreement") is made and entered into effective this day [Date], (the "Effective Date") between [Your Name], a corporation organized and existing under the laws of [Your Company Name] (the "Prime Contractor"), and [Subcontractor's Name], a corporation organized and existing under the laws of [Subcontractor's Company Name] (the "Subcontractor").

I. PURPOSE OF THE AGREEMENT

This Agreement is intended to facilitate collaboration between the Prime Contractor and Subcontractor. Both parties aim to combine their resources, expertise, and capabilities to achieve a common objective such as securing a contract, finalizing a project, or creating a new product. Both parties agree to act faithfully and diligently to maintain the spirit of this Agreement.

II. SCOPE OF WORK

The Subcontractor shall assume the responsibility of providing the necessary goods or services according to the terms specified within the formalized agreement. It covers key aspects such as Intellectual Property Rights, Confidentiality, and Indemnification against potential risks, thereby protecting the interests of all parties involved. V. TERM AND TERMINATION
