This Service Agreement ("Agreement") is made and entered into as of November 19, 2054, by and between:

• Freelancer Name: Carmel Ryan, operating as an independent contractor, ("Freelancer")

• Buyer Name: Dell Stokes, ("Buyer")

Hereinafter collectively referred to as the "Parties."

Scope of Work

The Freelancer agrees to provide the following professional services ("Services") as outlined in the Fiverr order:

• Order Number: #123456789

• Project Title: Logo Design for MindStove

• Service Details: The Freelancer will design a professional logo that aligns with the Buyer’s branding guidelines and vision. The Services include:

  • Creation of one primary logo and one secondary logo variation.

  • Adherence to branding guidelines provided by the Buyer, including specific colors, typography, and style preferences.

  • Submission of initial design concepts for feedback and revision.

  • Finalization of the approved logo design.

Deliverables:

• Three initial logo concepts in low resolution for review.

• Final primary and secondary logos in:

  • High-resolution PNG and JPEG formats.

  • Vector file in AI and PDF formats.

• A marketing mockup showcasing the logo on branded materials.

Buyer's Responsibilities:

• Provide clear branding guidelines and feedback within the agreed timeframe to avoid project delays.

• Approve or request revisions within the revision period.

Compensation

• Total Fee: $150

• Payment Method: All payments will be made through the Fiverr platform as per Fiverr’s escrow policies.

• Milestone Payments:

  • Milestone 1: $50 upon delivery of initial logo concepts.

  • Milestone 2: $100 upon delivery of final approved logo files.

Timeline and Deadlines

• Project Start Date: November 19, 2054

• Initial Logo Concept Delivery: November 22, 2054

• Final Deliverable Due Date: November 25, 2054

Revision Period:

The Buyer is entitled to three (3) rounds of revisions, which must be requested within five (5) calendar days of each delivery. Additional revisions, if requested, will incur a fee of $25 per revision.

Communication:

Both Parties agree to maintain timely communication. The Freelancer is obligated to respond within 24 hours to any inquiries or feedback during the project.

Intellectual Property Rights

• Freelancer’s Ownership: All preliminary designs, sketches, and tools used in creating the logo remain the intellectual property of the Freelancer unless agreed otherwise.

• Buyer’s Ownership: Upon full payment, the Buyer receives exclusive ownership of the final approved logo design for unlimited commercial use.

• Third-Party Assets: If any third-party assets (e.g., stock images, fonts) are incorporated, appropriate licensing details will be provided.

Confidentiality

The Freelancer agrees to:

• Keep all materials, branding details, and communications confidential.

• Not share or use the Buyer’s information for any purpose other than completing the agreed Services.

The Buyer agrees to:

• Treat all delivered concepts as confidential until final approval.

Revisions, Cancellations, and Refunds

• Revisions:

  • Three (3) rounds of revisions are included. Any additional revisions will be charged at $25 per round.

• Cancellations:

  • Either Party may cancel the order via Fiverr with mutual agreement, following Fiverr’s terms.

• Refunds:

  • If the Freelancer fails to deliver the agreed deliverables on time without prior communication, the Buyer may request a full refund.

  • Refunds are not applicable once the final deliverables are approved and delivered.

Limitations of Liability

• The Freelancer is not liable for:

  • Indirect, incidental, or consequential damages arising from the use of the final design.

  • Any delays caused by lack of Buyer feedback or incomplete instructions.

• The Buyer agrees to provide accurate and timely input to facilitate successful completion.

Dispute Resolution

All disputes shall first be addressed through Fiverr’s Resolution Center. If unresolved, the matter will be governed by Fiverr’s dispute policies and procedures.

Governing Law

This Agreement shall be governed and construed in accordance with Fiverr’s Terms of Service and the laws of the United States.

Miscellaneous Terms

1. This Agreement applies only to the specific order referenced by Order ID #123456789.

2. Any additional services outside the scope of this Agreement require a new order.

3. No changes to this Agreement are valid unless agreed upon in writing by both Parties through Fiverr messaging.

By placing this order on Fiverr, both the Freelancer and Buyer acknowledge and agree to the terms set forth in this Agreement.
