I. Introduction
This Yearly Service Agreement (AMC) is made between [YOUR COMPANY NAME], hereafter referred to as the "Service Provider," and CastleBrand, hereafter referred to as the "Client." The agreement outlines the services to be provided for the period from January 1, 2050, to December 31, 2050, for the maintenance and support of [specific product or service].
II. Scope of Services
The Service Provider will provide the following services under this agreement:
Routine Inspections: Bi-annual inspections to ensure proper functioning of all servers, network equipment, and software systems. The first inspection will be on March 15, 2050, and the second will be on September 15, 2050.
Repairs and Replacements: Necessary repairs or replacements for any failed equipment or software due to malfunction. This excludes damage caused by misuse or accidents.
Software Updates: Monthly software updates to ensure all systems are running the latest secure and stable versions.
Emergency Support: 24/7 emergency support for critical failures. Response time will not exceed 4 hours.
III. Term and Duration

IV. Payment Terms
The total fee for the services covered under this agreement is $12,000, payable as follows:
First Payment: 50% upon signing of the agreement, due on January 1, 2050.

Late Payment Clause: A 5% penalty will be charged for payments not made within 30 days of the due date.
V. Responsibilities of the Service Provider
The Service Provider will:

Provide emergency support during business hours or after hours as per the terms of this agreement.
Maintain adequate records of services performed and provide a report to the client upon request.
VI. Responsibilities of the Client
The Client agrees to:

Notify the Service Provider of any issues or malfunctions as soon as they occur.
Ensure that the equipment is used and maintained in accordance with the manufacturer’s guidelines.
VII. Exclusions
This agreement does not cover:
Damages resulting from accidents, misuse, or neglect by the Client.
Services required due to unauthorized repairs or modifications made by the Client or third parties.
Costs for spare parts or components not included in the original scope.
VIII. Termination and Renewal
Either party may terminate this agreement with 30 days' written notice if the terms of the contract are not met. Upon expiration of the term on December 31, 2050, the agreement may be renewed based on mutual consent.
