Virtual Assistant Service Agreement
This Virtual Assistant Service Agreement ("Agreement") is entered into as of June 1, 2055 ("Effective Date"), by and between Jolie Cassin, with a principal place of business at Houston, TX 77001 (hereinafter referred to as "Client"), and Porter Hoppe, with a principal place of business at Nashville, TN 37201 (hereinafter referred to as "Service Provider"). Collectively, Client and Service Provider may be referred to as the "Parties" and individually as a "Party."
1. Purpose
The purpose of this Agreement is to outline the terms and conditions under which Service Provider shall provide virtual assistant services to Client.
2. Scope of Services
2.1 Description of Services
Service Provider agrees to furnish Client with virtual assistant services as detailed in Exhibit A, which is attached hereto and incorporated herein by reference ("Services").
2.2 Modifications
Any changes to the scope of Services shall be made in writing and agreed upon by both Parties prior to implementation.
3. Term and Termination
3.1 Term
This Agreement shall commence on the Effective Date and continue for a period of [initial term, e.g., one year], unless earlier terminated in accordance with this Agreement.
3.2 Termination
Either Party may terminate this Agreement at any time with [number of days] days written notice to the other Party. In the event of a material breach, the non-breaching Party may terminate this Agreement immediately upon written notice to the breaching Party.
4. Compensation
As consideration for the Services provided by Service Provider, Client agrees to pay Service Provider according to the fee schedule outlined in Exhibit B, which is attached hereto and incorporated herein by reference.
5. Confidentiality
Both Parties agree to maintain the confidentiality of all information not known to the public that is exchanged between the Parties or developed during the term of this Agreement.
6. Limitation of Liability
In no event shall either Party be liable for any indirect, incidental, special, consequential, or punitive damages, whether foreseeable or not, arising out of or related to this Agreement.
7. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Texas, without regard to its conflict of laws principles.
8. Entire Agreement
This Agreement constitutes the entire agreement between the Parties and supersedes all prior or contemporaneous oral or written agreements concerning this subject matter.
9. Signatures
IN WITNESS WHEREOF, the Parties hereto have executed this Virtual Assistant Service Agreement as of the Effective Date.
