This Agreement sets forth the terms and conditions under which the Service Provider shall provide emergency response services to the Client. The aim is to ensure a swift and effective response to various emergencies that may arise at the Client’s premises.

1. Scope of Services

The Service Provider agrees to provide emergency response services including but not limited to medical assistance, fire control, and response to natural disasters. These services are referred to as the “Services” under this Agreement.

2. Response Protocols and Procedures

In the event of an emergency, the Client shall immediately notify the Service Provider using the agreed-upon communication channels. The Service Provider shall respond within [specify response time] and will coordinate closely with the Client’s designated representative to manage the emergency situation.

3. Roles and Responsibilities

The Client shall be responsible for providing accurate and timely information regarding the emergency. The Service Provider shall be responsible for mobilizing its resources and personnel to address the emergency effectively and efficiently.

4. Training and Drills

The Client and the Service Provider shall conduct joint emergency response drills at least two (2) per year to ensure readiness. The Service Provider will also provide necessary training to the Client’s staff as part of the Services.

5. Term and Termination

6. Legal and Financial Considerations

6.1. The Service Provider shall maintain appropriate insurance coverage for its operations. The Client agrees to pay the Service Provider based on the payment terms and conditions. Both parties agree to indemnify and hold each other harmless from any claims arising from their respective acts or omissions.

6.2. The Client agrees to pay the Service Provider a monthly retainer fee of fifteen thousand (15,000) dollars, payable on the [first business day of each month]. This retainer will ensure the availability of the Service Provider for emergency response services as outlined in this Agreement.

6.3. In addition to the retainer fee, the Client will be invoiced for actual emergency response services rendered by the Service Provider. These services will be billed at a rate of fifty (50) dollars per hour, with a minimum charge of four (4) hours per emergency response call.

6.4. Payment of invoices is due within seven (7) days of the invoice date. Late payments will incur an interest charge of five (5) percent per month on the outstanding balance.

6.5. The Client will also reimburse the Service Provider for any out-of-pocket expenses incurred in the course of providing emergency response services, provided that such expenses are pre-approved by the Client.

6.6. This payment structure is designed to ensure that the Service Provider is compensated for its readiness to provide emergency services and for the actual services rendered, while also providing the Client with predictable and manageable costs.
