In business, contracts are very common for several purposes. Due to their legal jargon, contracts are considered a lawyer’s work. But for simple agreements and contract templates, you can draft them yourself if you know the subject matter and the law governing it. You can get them checked by your attorney if you wish to.
5 Steps to Write Legal Contracts
Step 1: An Agreement Is a Must
Both parties must come to an agreement over the matter before entering into a contract. When the terms, consideration, provisions, etc are clear then only, a contract must be drafted. When the contract is drafted, it should be signed without any questions like why it is so or why it is not.
Step 2: Both Parties Benefit from the Contract
For a legally binding contract, a valid consideration or “something of value” is a must. Your contract must state clearly what each party will be getting in return from holding their share of promise. The consideration must be fair, measurable and unambiguous. Without any consideration, the contract can’t be valid. Also, mention the manner in which consideration will be exchanged.
Step 3: Basic Information of Parties
At the start of the contract, the basic information of the parties to the contract is entered. Parties to the contract mean those who are entering into the contract. In the case of a contract between individuals, full name, age and complete address are written generally. In case of the contract between two businesses or an individual or a business, the name shall include a legal title and registered office address of the business.
Step 4: Termination Clause and Non-Disclosure
In the contract, you must include a clause as to how and when the contract will be terminated or the instances in which the contract will be automatically terminated. A contract can be terminated on the performance of promise by both the parties or if one party does something which exploits the right of another party. You can enter into a non-disclosure agreement if you do not wish the other party to disclose the matter of the contract.
Step 5: Some Basic Points
Date is important in a contract. The contract will be binding from the date entered into the contract and not from the date when parties had entered into agreement. The last page is always saved for the signature of both the parties. Wherever required, the signature of witnesses is also needed.
